Terms & Conditions

Please read these Terms and Conditions carefully before engaging our services or using this website. By submitting an enquiry or entering an engagement agreement with Permata Move, you agree to be bound by these terms. 1. Scope of Agreement

These Terms and Conditions govern your use of the Permata Move website at permatamia.club and any advisory services you engage us to deliver. Permata Move refers to Permata Move Sdn. Bhd., a company registered in Malaysia with its principal office at Unit 8-9, Menara MBSB, Persiaran Suria, 62050 Putrajaya.

These terms are supplemented — not replaced — by the engagement agreement signed at the commencement of each service. Where a signed engagement agreement conflicts with these terms, the engagement agreement takes precedence for the specific engagement concerned.

2. Services We Offer

Permata Move currently offers three advisory services to transportation operators in Malaysia:

  • Operations Listening Visit (RM 1,070) — A one-time observation and briefing engagement. We sit with your dispatch and terminal team, review how route plans and communications are managed, and close with a written brief of suggested AI assists scoped to your Transport Management System (TMS) and aligned with APAD and JPJ guidance.
  • Dispatch & Customer Drafting Pilot (RM 1,180) — A four-week supervised pilot of an AI-assisted drafting layer for your dispatch desk and customer service line. All external messages are confirmed by a human. The system is integrated with your TMS in read-only mode.
  • Operations Stewardship Retainer (RM 4,650 / month) — A continuing monthly advisory engagement. We sample AI outputs, review records, and provide a written brief to your head of operations. Includes alignment with APAD, JPJ, and SPAD circulars.

Service descriptions on this website are for general information. The scope, deliverables, and timeline of each engagement are defined in the signed engagement agreement.

3. Engagement Process

An engagement begins when:

  1. You submit an enquiry through this website or contact us directly
  2. We confirm scope, timeline, and fees in a written proposal
  3. You sign the engagement agreement and make the initial payment

Submitting a contact form on this website does not create a contractual obligation on either party. We will respond to enquiries within two working days. All engagements are subject to our acceptance and capacity.

4. Fees and Payment

All fees are in Malaysian Ringgit (RM) and are exclusive of any applicable taxes unless stated otherwise. Payment terms are specified in each engagement agreement. General terms apply as follows:

  • Operations Listening Visit: Full payment due before the visit date
  • Dispatch & Customer Drafting Pilot: Full payment due before the pilot period begins
  • Operations Stewardship Retainer: Monthly fee due by the 5th of each calendar month in advance

Invoices are issued in accordance with Malaysian SST regulations where applicable. Late payments may result in a suspension of services. We do not offer refunds once an engagement has commenced, except where there is a material breach on our part.

5. Intellectual Property

All materials created or supplied by Permata Move — including written briefs, methodology documents, draft templates, and any AI configuration files — remain the intellectual property of Permata Move unless otherwise agreed in writing.

Upon full payment of an engagement, we grant you a non-exclusive, non-transferable licence to use the deliverables for your internal operations. You may not reproduce, sell, or share our materials with third parties without written consent.

All content on this website, including text, structure, and design, is owned by or licensed to Permata Move. You may not copy or reproduce website content without our permission.

6. Confidentiality

Both parties agree to treat as confidential any non-public information disclosed during an engagement. For Permata Move, this includes your operational data, route plans, TMS configurations, staff communications, and customer records. For you as the client, this includes our methodology, proprietary tools, and commercial terms.

Confidentiality obligations survive the end of any engagement for a period of three years. They do not apply to information that is publicly known, independently developed, or required to be disclosed by law or a regulatory authority.

7. Data Handling During Engagements

During operational engagements, we may access data from your TMS in read-only mode. This access is governed by a separate data handling addendum attached to your engagement agreement. We handle operational data only for the purpose of the engagement and do not retain it beyond the engagement period except where required by law.

Personal data submitted through this website (such as contact form submissions) is handled in accordance with our Privacy Policy and the Malaysian Personal Data Protection Act 2010 (PDPA).

8. Limitations of Liability

Our services are advisory in nature. Permata Move provides recommendations and drafts for human review — we do not make operational decisions on your behalf. You retain full responsibility for your dispatch operations, regulatory compliance, and customer communications.

To the extent permitted by Malaysian law, Permata Move's total liability for any engagement is limited to the fees paid for that specific engagement. We are not liable for any indirect, consequential, or operational losses arising from the use of our advice or outputs.

We do not warrant that AI-assisted drafts or summaries are free from error. All outputs require human review before use.

9. Termination

Either party may terminate an engagement by giving 30 days written notice, except where the engagement agreement specifies a different notice period. Termination rights for the Operations Stewardship Retainer are as follows:

  • You may cancel the retainer with 30 days notice prior to the next billing date
  • We may terminate the retainer with 30 days notice if payment is not received within 14 days of the due date

Termination does not release either party from obligations that arose before the termination date, including payment obligations for services already rendered.

10. Regulatory Compliance

Our advisory work references regulations and circulars issued by APAD (Agensi Pengangkutan Awam Darat), JPJ (Jabatan Pengangkutan Jalan), and SPAD (where applicable). We make reasonable efforts to stay current with regulatory changes, but we are not a legal or regulatory authority. You should seek independent legal or regulatory advice before making compliance decisions based on our briefs.

11. Website Use

This website is provided for information purposes. You may use it to learn about our services and contact us. You agree not to:

  • Use automated tools to scrape or reproduce website content
  • Attempt to access or interfere with back-end systems
  • Submit false or misleading information through our contact form
  • Use this website in any way that may cause harm to Permata Move, other users, or third parties

We reserve the right to restrict access to the website at our discretion.

12. Governing Law and Dispute Resolution

These Terms and Conditions and all engagement agreements are governed by the laws of Malaysia. Any dispute arising from or related to these terms or our services shall first be addressed through good-faith negotiation between the parties. If negotiation does not resolve the dispute within 30 days, the matter shall be referred to mediation under the Malaysian Mediation Centre before any legal proceedings are commenced.

The courts of Malaysia shall have exclusive jurisdiction over any disputes that proceed beyond mediation.

13. Amendments to These Terms

We may update these Terms and Conditions from time to time to reflect changes in our services, operations, or applicable law. We will note the revision date at the top of this page. Continued use of our website or services after an update constitutes acceptance of the revised terms.

For ongoing engagement clients, material changes to terms will be communicated by email at least 14 days before they take effect.
